This isn't investing. This is a controlled transfer of capital disguised as a Nasdaq debut.


The Setup

Bitari AI, Inc. — ticker BIAI — is a Bitcoin mining hosting company. Not a protocol. Not a smart contract platform. Not even a mid-tier miner with meaningful fleets. This is a hosting service, an old-school operations play that depends on cheap electricity and heavy machinery maintenance. The kind of business that lives and dies on the Bitcoin price chart and the global hash rate difficulty.

The company has submitted its S-1 registration to the SEC, aiming for a Nasdaq listing. That S-1 file lays out the blueprint of a financial engineering miracle I haven't seen since the LUNA collapse.

Let me break down the numbers like I'm explaining it to a friend at a Buenos Aires crypto meetup.

  • Total IPO raise: about $30 million
  • Shares for public: roughly 4.3 million, or 10% of the company
  • Existing shareholders: 38.8 million shares, or 90%, locked in
  • Chairman Pei Zhao (through AI Power X Inc.): a staggering 85.87% of all shares
  • Their original investment: $45,000

That means the old guard controls this business with a 0.2% initial cash commitment. The new investors will inject the remaining 99.8% of the money. And nobody has to hold the stock for a single day after listing. No lock-up. No vesting. Just the market opening and them hitting the sell button.


The deteriorating fundamentals

With those numbers, what justifies a $7-per-share valuation that gives the company a market cap around $300 million? Nothing in the fundamentals. The tangible book value per share is $0.69. The mining industry is in a brutal phase — the Bitcoin halving already cut block rewards in half, and the hash rate difficulty keeps climbing. Giants like Riot Platforms, Marathon Digital, and CleanSpark compete with hundreds of thousands of mining machines and billions in capital. Bitari is a minnow in a shark tank.


Where the money goes

Now, the most alarming part — the allocation of the IPO proceeds:

The company is exploiting the "AI + mining" narrative to attach a premium to its valuation, while having delivered zero evidence of any AI capability. It's a classic narrative trap — the glittering trap I've been warning about since the NFT collapse.


A controlled game

Let's talk about governance.

The company will be a "controlled company" under Nasdaq rules because Pei Zhao holds 85.87% of the voting power. That means they can bypass many corporate governance requirements — no independent board majority, no mandatory compensation committee, no oversight committee.

This structure gives the chairman total power with almost zero accountability to public investors. There's no lockup period for those 90% shares, which means the insiders can sell as soon as the stock starts trading. And with only 10% of shares in public hands, liquidity will be thin — a recipe for extreme volatility and potential market manipulation.

If you ask me, this IPO structure is designed to give insiders an exit. The public investors provide the liquidity, and the insiders take the cash.


The bigger picture: a canary in the coalmine

Here's the contrarian angle that nobody's talking about.

I've watched the 2021 NFT peak, the 2022 DeFi collapse, the 2024 ETF sprint. Each cycle, I've seen the same pattern: when the main narrative fades, marginal players start using the hottest keyword to attract capital.
